Important: By installing, accessing, or using Tusab, you declare that you have read, understood, and agreed to these Terms of Service. If you do not agree with any part of these terms, do not install or use the software.

1. What is Tusab

Tusab is a personal knowledge management (PKM) software with local artificial intelligence, developed and licensed by CriAugu (CNPJ 65.131.075/0001-57). The software allows you to:

• Extract YouTube video transcripts and store them locally.

• Organize documents, texts, conversations, and meeting transcripts in a personal knowledge base.

• Query this base via chat using language models (LLM), running locally or via external providers.

• Export and organize the knowledge produced.

Tusab operates on a local-first architecture: all user data remains on the user's device. CriAugu has no access to the content of the knowledge base, the conversations, or the processed documents.

2. License to Use

2.1 License Grant Subject to compliance with these Terms, CriAugu grants the user a non-exclusive, non-transferable, and revocable license to install and use Tusab for personal, educational, or internal professional purposes.

2.2 Free Plan The Free Plan includes:

• YouTube extraction for up to 1 channel.

• Indexing and chat with local models (Ollama) or external providers.

• Document and text repository.

• Basic export functionalities.

The Free Plan has no expiration date as long as it is available. CriAugu reserves the right to change the limits of the Free Plan with 30 days prior notice.

2.3 Pro Plan The Pro Plan adds scalability and control features (unlimited channels, advanced exports, custom personas, and other resources) upon payment of a license fee. The specific terms of the Pro Plan, including pricing and renewal conditions, are presented at the time of purchase at https://tusab.solutions.

2.4 Restrictions It is strictly prohibited to:

• Sublicense, sell, rent, or redistribute Tusab or any part of it.

• Modify, decompile, or reverse engineer the software for commercial purposes.

• Remove copyright notices or trademarks from the software.

• Use Tusab to process third-party personal data without a proper legal basis.

• Use Tusab for the commercial redistribution of extracted content without authorization from the original rights holder.

3. User Responsibilities

3.1 Compliance with third-party terms Tusab extracts YouTube transcripts using the yt-dlp tool. The user is entirely responsible for ensuring their use complies with:

• The YouTube Terms of Service (https://www.youtube.com/t/terms).

• Applicable copyright laws in the user's jurisdiction (in Brazil, Law No. 9,610/1998).

• The acceptable use policies of external AI providers that the user may configure.

CriAugu is not responsible for the use of Tusab in violation of these terms.

3.2 Credential security The user is responsible for:

• Keeping the API keys of external providers entered into Tusab secure.

• Protecting the device where Tusab is installed with a password and, preferably, disk encryption.

• Not sharing the Tusab config/ folder without first removing the API keys.

3.3 Knowledge base content The user is solely responsible for the content they insert into the Tusab knowledge base. By adding documents, texts, WhatsApp conversations, or meeting transcripts, the user declares they have the right to process this content locally.

4. Downloads and Third-Party Components

4.1 Ollama and language models Tusab integrates with Ollama to run local language models. Ollama (~50 MB) and the default model (llama3.2:1b, ~1.3 GB) are downloaded during the first use of the AI agent. These components are governed by their own open-source licenses, available in their respective repositories.

4.2 External AI providers The use of external providers (OpenAI, Google Gemini, Anthropic, Groq) is subject to the terms and privacy policies of these providers. By configuring an external provider, the user assumes the associated usage costs and the responsibility for complying with the provider's terms.

4.3 Google Drive Google Drive integration is optional. Access is limited to the drive.file scope — Tusab only creates and reads files that it has created itself. The integration is subject to the Google Terms of Service.

5. Intellectual Property

Tusab, including its source code, interface, brand, name, logo, and documentation, is the exclusive property of CriAugu, protected by the Software Law (Law No. 9,609/1998) and the Copyright Law (Law No. 9,610/1998).

The content produced by the user in the knowledge base (transcripts, documents, conversations, notes) remains the property of the user or the respective original rights holders. CriAugu does not claim ownership over the content of the user's knowledge base.

6. Disclaimer of Warranties

Tusab is provided "as is", without express or implied warranties of any kind, including, but not limited to:

• Warranty of fitness for a particular purpose.

• Warranty of absence of errors or interruptions.

• Warranty of compatibility with future versions of operating systems or third-party platforms (YouTube, AI providers).

YouTube and external AI providers may change their APIs, terms, or availability at any time, affecting Tusab's functionalities. CriAugu is not responsible for these changes.

7. Limitation of Liability

To the maximum extent permitted by applicable law, CriAugu shall not be liable for:

• User data loss (backup responsibility lies solely with the user).

• Indirect, incidental, or consequential damages arising from the use or inability to use Tusab.

• Usage costs of external AI providers configured by the user.

• Copyright violations arising from the improper use of content extraction.

• Damages caused by malware or unauthorized access to the user's device.

CriAugu's total liability, in any event, is limited to the amount paid by the user for the Tusab license in the 12 months preceding the event that gave rise to the claim.

8. Privacy

The processing of personal data by Tusab is governed by the Privacy Policy, available at https://tusab.solutions/privacy-policy and in the Privacy Policy.md file included in the project repository. The Privacy Policy is an integral part of these Terms.

9. Software Updates

Tusab includes an automatic update mechanism (via Electron auto-updater). The user will be notified about available new versions. Security updates are strongly recommended. CriAugu reserves the right to terminate support for older versions.

10. Cancellation and Termination

10.1 By the user The user may terminate the use of Tusab at any time by uninstalling the software. All local data remains on the user's device after uninstallation and can be deleted manually.

10.2 By CriAugu CriAugu may suspend or terminate the user's license in case of violation of these Terms, without the obligation to refund, upon notification by email.

10.3 Pro Plan In the event of cancellation of a paid Pro license, access to Pro functionalities is maintained until the end of the already paid period. There is no proportional refund for partial periods, unless required by applicable law.

11. Changes to the Terms

CriAugu may update these Terms. The user will be notified of material changes upon the next opening of the application. Continued use of Tusab after the notification constitutes acceptance of the new terms. The current version will always be available at https://tusab.solutions/terms-of-services.

12. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. For the resolution of disputes, the jurisdiction of the district of Brasília, Federal District, is elected, waiving any other, however privileged it may be.
